By creating an account, accessing a workspace, purchasing a subscription, or using any HeadwaySpot service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.

HeadwaySpot is a software platform designed to help organizations manage:

- Phases
- Tasks
- Milestones
- Teams
- Contractors
- Reports
- Contracts
- Invoices
- Progress Tracking
- Business Operations
Additional modules and features may be introduced, modified, or removed at our discretion.
3. Accounts and Eligibility
You must:
- Be at least 18 years old
- Provide accurate information
- Maintain the security of your account
- Be responsible for activity performed under your account
You may not share login credentials with unauthorized persons.
4. Workspaces and Ownership
Each workspace is owned by the individual or organization that created it.
The Workspace Owner controls:
- User access
- Team permissions
- Contractor permissions
- Project visibility
- Workspace settings
HeadwaySpot acts solely as a technology provider and does not claim ownership of workspace content.
5. User Content
Users may upload:
- Project information
- Tasks
- Milestones
- Contracts
- Reports
- Invoices
- Files
- Comments
- Communications
You remain responsible for all content uploaded to the Platform.
You represent that you possess all rights necessary to upload such content.
6. Subscription Plans
HeadwaySpot may offer:
- Free Plans
- Pro Plans
- Enterprise Plans
- Promotional Plans
- Partner Plans
Features and limits vary by plan.
We reserve the right to modify plan features, usage limits, storage allocations, and included functionality at any time.
7. Pricing and Annual Adjustments
Subscription prices may be revised periodically.
HeadwaySpot reserves the right to adjust pricing beginning on the first day of any Indian Financial Year (1 April) to account for:
- Inflation
- Infrastructure costs
- Operational expenses
- Taxation changes
- Currency fluctuations
- Product enhancements
- Pricing standardization
Price changes shall apply to future billing cycles and renewals.
Existing active subscriptions remain unaffected until the end of their current billing term.
8. Discounts, Promotions and Coupons
HeadwaySpot may offer:
- Promotional Discounts
- Startup Discounts
- Partner Discounts
- Referral Benefits
- Launch Offers
- Coupon Codes
All promotions are discretionary.
We reserve the right to:
- Modify
- Restrict
- Suspend
- Revoke
- Terminate
any promotion, coupon, discount, referral program, or special pricing arrangement at any time without prior notice.
Discounts possess no cash value and cannot be transferred unless expressly permitted.
9. Billing and Payments
Paid subscriptions are billed in advance.
Failure to complete payment may result in:

- Account suspension
- Service termination
All applicable taxes remain the responsibility of the customer unless otherwise stated.
10. Refund Policy
Except where required by applicable law, subscription payments are non-refundable.
Refund requests may be reviewed on a case-by-case basis.
Unused subscription periods do not automatically qualify for refunds.
11. Fair Usage Policy
The Platform is subject to reasonable usage limits.
We may restrict or suspend usage that materially affects platform stability, security, or performance, including:

- Automated scraping
- Credential sharing
- Abuse of AI features
- Excessive API activity
- Security testing without authorization
12. Artificial Intelligence Features
Certain HeadwaySpot features may use artificial intelligence to assist with:
- Project summaries
- Document analysis
- Task generation
- Reporting
- Workflow recommendations
AI-generated outputs may contain inaccuracies.
Users remain solely responsible for reviewing and validating AI-generated content before relying on it.
13. Service Availability
While we strive to maintain availability, HeadwaySpot does not guarantee uninterrupted operation.
Services may be temporarily unavailable due to:
- Maintenance
- Security incidents
- Infrastructure failures
- Third-party outages
- Force majeure events
14. Intellectual Property
HeadwaySpot, including its software, design, branding, trademarks, documentation, and technology, remains the exclusive property of Funde Technologies.
No rights are granted except those expressly stated in these Terms.
15. Restrictions
You may not:
- Reverse engineer the Platform
- Attempt unauthorized access
- Interfere with security controls
- Resell the Service without permission
- Copy substantial portions of the Platform
- Use the Platform for unlawful activities
16. Data Export and Retention
Workspace owners may request export of eligible workspace data.
After cancellation or termination, we may retain:
- Backups
- Billing records
- Audit logs
- Security records
for operational, legal, compliance, and dispute resolution purposes.
17. Termination
We may suspend or terminate accounts for:
- Violation of these Terms
- Fraudulent activity
- Abuse of the Platform
- Non-payment
- Security risks
Users may stop using the Platform at any time.
18. Limitation of Liability
To the maximum extent permitted by law, HeadwaySpot shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from use of the Platform.
Our aggregate liability shall not exceed the amount paid by the customer to HeadwaySpot during the twelve months preceding the claim.
19. Changes to the Service
We may modify, discontinue, replace, or remove any feature, module, integration, or functionality at any time.
Future roadmap items, announcements, and feature previews do not constitute contractual commitments.
20. Governing Law
These Terms shall be governed by and interpreted under the laws of India.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
